These Terms and Conditions ("Terms") govern your access to and use of the SGA Globe website located at www.sgaglobe.com (the "Website") and your engagement with the professional services provided by SGA Globe and its affiliated entities, including SGA CPA, SGA Tax, Spear and Shield Law, TaxShield Law, SGA Wealth, Tick and Tally, SGA USA, and SRGM (collectively, "SGA Globe," "we," "our," or "us").

By accessing the Website or engaging SGA Globe for professional services, you agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Website and may not engage our services.

1. Nature of Services

SGA Globe is a multidisciplinary professional services firm providing legal, tax, accounting, audit, wealth planning, compliance, consulting, and fractional executive services. Our affiliated entities operate in Canada, the United States, and India and include licensed professionals subject to the rules and regulations of their respective governing bodies.

The information published on this Website is provided for general informational purposes only and does not constitute legal, tax, financial, accounting, or investment advice. No professional-client relationship is created by your access to or use of this Website unless and until a formal written engagement agreement has been executed between you and the applicable SGA Globe entity.

2. Engagement and Professional Relationship

2.1 Engagement Agreements

All professional services are provided pursuant to a formal written engagement letter or retainer agreement between the client and the applicable licensed entity within the SGA Globe platform. The terms of that engagement agreement, together with these Terms, govern the professional relationship.

2.2 No Duty Without Engagement

No professional duty, obligation, or liability is assumed by SGA Globe or any of its professionals based solely on your access to this Website, submission of a contact form, or informal inquiry. SGA Globe reserves the right to decline any engagement at its sole discretion.

2.3 Independent Entities

Each entity operating under the SGA Globe platform (SGA CPA, SGA Tax, Spear and Shield Law, TaxShield Law, SGA Wealth, Tick and Tally, SGA USA, SRGM) is a separate legal entity. Engaging one entity does not create a relationship with any other entity unless explicitly agreed in writing.

3. Website Use

3.1 Permitted Use

You are granted a limited, non-exclusive, non-transferable right to access and use the Website for lawful, personal, and non-commercial purposes. You may not:

6. Fees, Billing, and Payment

Professional service fees are established in the applicable engagement letter. Unless otherwise agreed in writing:

  • Fees are based on the nature and complexity of the services, time spent, and professional credentials of the individuals engaged
  • Disbursements, filing fees, and third-party costs incurred on your behalf are billed separately
  • Invoices are payable within thirty (30) days of issuance unless otherwise specified
  • Overdue balances may attract interest at the rate specified in the engagement letter or at applicable legal rates
  • SGA Globe reserves the right to suspend or terminate services in the event of non-payment

7. Confidentiality

SGA Globe professionals are bound by strict professional and contractual confidentiality obligations. Information shared with us in connection with professional services is treated as confidential and is not disclosed except as described in our Privacy Policy or as required by law, court order, or professional regulatory requirements.

You agree to maintain the confidentiality of any proprietary information, methodologies, templates, or materials provided to you by SGA Globe in the course of an engagement and not to disclose or use such materials except for the purposes of your engagement.

8. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Website shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada, except where otherwise required by applicable law.

For services provided by SGA USA, disputes related specifically to U.S.-based services shall be subject to the laws of the applicable U.S. jurisdiction as specified in the engagement agreement.

9. Dispute Resolution

In the event of any dispute between you and SGA Globe arising from these Terms or the provision of services, the parties agree to first attempt to resolve the matter informally through good faith discussions. If the dispute cannot be resolved within thirty (30) days, either party may pursue formal legal proceedings in accordance with Section 8.

Nothing in this section prevents either party from seeking emergency or injunctive relief where necessary to protect their rights or interests.

10. Termination

SGA Globe reserves the right to terminate or suspend your access to the Website at any time, with or without notice, for conduct that violates these Terms or for any other reason at its sole discretion.

Either party may terminate a professional services engagement in accordance with the terms of the applicable engagement letter. Upon termination, SGA Globe will provide reasonable assistance to transition files and records to you or your new advisors, subject to the settlement of outstanding fees.

11. Force Majeure

SGA Globe shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, regulatory changes, labour disputes, or failure of third-party systems or services.

12. Modifications to These Terms

SGA Globe reserves the right to amend these Terms at any time. Updated Terms will be posted on the Website with a revised effective date. Your continued use of the Website following the posting of updated Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the applicable engagement letter or retainer agreement and the Privacy Policy, constitute the entire agreement between you and SGA Globe with respect to your use of the Website and engagement of professional services, and supersede all prior agreements, representations, and understandings.
